C-VALUE Technologies provides ICT consultancy, software development, web design, and web hosting solutions across Africa. Each engagement or project may include additional written agreements specifying deliverables, timelines, and fees.

3. User Responsibilities

• You agree to provide accurate information when registering or engaging our services.
• You will not use our platforms for any unlawful, fraudulent, or harmful activity.
• You are responsible for maintaining the confidentiality of any access credentials or accounts issued to you.
• You agree not to attempt unauthorized access to our servers, systems, or other user data.

4. Intellectual Property

All content, software, graphics, and intellectual property developed or provided by C-VALUE Technologies remain our property unless otherwise stated in a written agreement. Clients retain ownership of their own brand assets, data, and materials supplied for project execution.

5. Payment and Billing

• All fees are quoted in Naira (NGN) or USD unless otherwise stated.
• Payments are due based on agreed milestones or invoices.
• Late payments may attract interest or lead to suspension of service delivery.
• Hosting and subscription services require timely renewals to avoid interruption.

6. Confidentiality

Both parties agree to maintain confidentiality regarding proprietary information, trade secrets, and project data shared during collaboration. C-VALUE Technologies will not disclose client information without consent, except as required by law.

7. Limitation of Liability

While we take every reasonable measure to deliver high-quality, secure, and reliable services, C-VALUE Technologies shall not be liable for indirect, incidental, or consequential damages arising from service use, downtime, data loss, or third-party actions.

8. Service Availability and Maintenance

We strive for uninterrupted service delivery but may perform scheduled maintenance or updates that could cause temporary downtime. We will provide advance notice where possible.

9. Termination

Either party may terminate a service agreement with prior written notice as specified in the contract. Upon termination, clients must settle all outstanding balances and retrieve any hosted data within the stated timeframe.

10. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be resolved through amicable negotiation or, if necessary, arbitration under Nigerian law.

11. Amendments

C-VALUE Technologies reserves the right to update or modify these Terms of Service at any time. Updates will take effect once posted on our website with a new “Last Updated” date.
